Pizzana does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit.
We may use third-party service providers to facilitate certain aspects of our Services, such as payment processing, delivery logistics, and analytics. These third parties operate independently and are subject to their own terms and privacy policies. Your use of third-party services is at your own risk.
13. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, and protect your personal information in accordance with applicable United States privacy laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and, where applicable, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) for California residents. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
14. Governing Law and Jurisdiction
These Terms and any disputes arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Pizzana is registered to conduct business, without regard to its conflict of law provisions.
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.
These Terms are subject to all applicable federal laws of the United States, including but not limited to the Federal Trade Commission Act (FTC Act), the Electronic Communications Privacy Act, the Computer Fraud and Abuse Act, and all other applicable federal statutes and regulations governing electronic commerce and consumer protection.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal legal proceedings, we encourage you to contact us first to attempt to resolve any dispute informally. Please reach out to us at [email protected] with a detailed description of your concern, and we will make good-faith efforts to resolve the matter within thirty (30) days of receiving your notice.
15.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or your use of the Services (excluding claims for injunctive or other equitable relief) shall be finally resolved by binding arbitration administered by a recognized arbitration organization in the United States, such as the American Arbitration Association (AAA), in accordance with its Consumer Arbitration Rules then in effect.
The arbitration shall be conducted in the English language and held either remotely or at a location mutually agreed upon by the parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and expenses in connection with the arbitration, provided that the arbitrator may award costs and attorneys' fees to the prevailing party in accordance with applicable law.
15.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
16. Term and Termination
These Terms shall remain in full force and effect for as long as you access or use our Services, unless terminated earlier in accordance with this section.
We may suspend or terminate your access to the Services, in whole or in part, at any time and without prior notice, for any reason, including but not limited to:
- Your violation of any provision of these Terms
- Fraudulent, abusive, or illegal activity in connection with your use of the Services
- Our decision to discontinue or modify the Services
- Technical, operational, or business reasons at our sole discretion
Upon termination of your account or access to the Services:
- Your right to use the Services will immediately cease
- We may delete your account and associated data, subject to our Privacy Policy and applicable law
- Any outstanding payment obligations you have incurred shall remain due and payable
You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Upon termination of your account by either party, Sections 7 (Intellectual Property Rights), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law), 15 (Dispute Resolution), and any other provisions that by their nature should survive termination shall continue in full force and effect.
17. Changes to Terms
Pizzana reserves the right to update, modify, or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we may also provide additional notice, such as an email notification to the address associated with your account or a prominent notice on our Site.
Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue your use of the Services and, if applicable, close your account.
We encourage you to review these Terms periodically to stay informed of any updates. It is your responsibility to check our Site regularly for changes.
18. Force Majeure
Pizzana shall not be liable for any failure or delay in the performance of its obligations under these Terms or in connection with the Services where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes, power failures, internet disruptions, supply chain interruptions, or any other events constituting force majeure under applicable law.
In the event of a force majeure situation, we will notify you as soon as reasonably practicable and will make good-faith efforts to resume our Services in a timely manner.
19. Severability
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, void, or unenforceable for any reason, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and be enforceable as to the remaining provisions.
The invalidity or unenforceability of any particular provision shall not affect the validity or enforceability of any other provision of these Terms. The parties agree that a court or arbitrator shall have the authority to modify any invalid or unenforceable provision to the minimum extent necessary to make it valid and enforceable, consistent with the intent of the original provision.
20. Entire Agreement and Waiver
These Terms, together with our Privacy Policy and any other agreements or policies expressly incorporated herein by reference, constitute the entire agreement between you and Pizzana with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between you and Pizzana regarding the Services.
No waiver by Pizzana of any right or provision of these Terms shall be deemed a further or continuing waiver of such right or provision or a waiver of any other right or provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
21. Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.
Pizzana may freely assign these Terms or any of its rights or obligations hereunder to any successor or affiliate, or in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, without restriction and without notice to you.
22. Electronic Communications
By using our Services, you consent to receiving electronic communications from us, including emails, notifications, and messages related to your account, orders, and the Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically satisfy any legal requirement that such communications be in writing, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and applicable state electronic signature laws.
